TERMS OF SERVICE

Confidential Information

"Confidential Information" includes all non-public information provided by the Company to the Beta User in connection with the Beta Service, including but not limited to software, documentation, user interfaces, algorithms, test results, feedback, and any other proprietary materials related to the Beta Service.

Obligations of Beta User

As a Beta User, you agree to:

• Keep the Confidential Information strictly confidential and not disclose it to any third party without the prior written consent of the Company.
• Use the Confidential Information solely for the purpose of using and providing feedback on the Beta Service and not for any other purpose.
• Not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Beta Service.
• Take reasonable measures to protect the confidentiality of the Confidential Information.

Duration

Your obligations under this Agreement shall continue until the earlier of:

• Five (5) years after the termination of your access to the Beta Service, or
• A formal written statement from TripBirdy LLC is directly made to release such obligation for the user.

Return or Destruction of Confidential Information

Upon termination of your access to the Beta Service or at the Company's request, you shall promptly return to the Company or destroy all copies of the Confidential Information in your possession or control.

Disclaimer of Liability

The Beta Service is provided "as is" and "as available" without any warranties of any kind, either express or implied. TripBirdy LLC does not warrant that the Beta Service will be accurate, reliable, or safe. You acknowledge that the Beta Service may contain errors, inaccuracies, or potentially unsafe recommendations due to the limitations of AI technology. You agree to use the Beta Service at your own risk and understand that TripBirdy LLC shall not be liable for any damages or losses arising from your use of the Beta Service, including but not limited to any direct, indirect, incidental, consequential, or punitive damages. You are solely responsible for verifying the accuracy, safety, and suitability of any information, recommendations, or other content provided through the Beta Service.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington.

Choice of Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the State of Washington. You agree that this Agreement is intended to be enforceable to the fullest extent permitted by applicable law in your jurisdiction. If any provision of this Agreement is found to be unenforceable or invalid under the laws of any jurisdiction, such unenforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein. The Company shall comply with all applicable data protection laws in handling your personal data.

Transition to Commercial Service

Upon completion of the Beta Service and the public announcement of a formal commercial service, TripBirdy LLC will update these Terms of Service accordingly. Until the official commercial Terms of Service are made available, this Agreement shall remain applicable to any intermediate service, including any phase between the Beta Service and the full commercial service or any stages of commercial service.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

Acceptance of Terms

By accessing or using the Beta Service or any intermediate service, including any phase between the Beta Service and the full commercial service or any stages of commercial service, you acknowledge and agree to be bound by the terms of this Agreement until the official commercial Terms of Service are made available.
